This electronic record is generated by a computer system and does not require any physical or digital signatures.

Our website www.yumdeli.in (Website) and mobile Apps ‘yumdeli Delivery Partner’  (Website and App collectively referred to as the “Platform”) for the purpose of receiving orders and delivering the food and beverages to the Users.

These Terms and Conditions govern the relationship between Yumdeli (referred to as "Yumdeli," "we," "us," or "our") and its Food Delivery Partners (referred to as "Delivery Partner," "you," or "your"). By using the Yumdeli platform to deliver food to customers, you agree to abide by these terms and conditions.

These Terms apply to all Delivery Partners, whether you are an individual contractor, a third-party logistics provider, or any other entity contracted to deliver food on behalf of Yumdeli.

Yumdeli India Private Limited (“yumdeli”), a company incorporated under the Companies Act, 2013 and having its registered office at 47, 1st Floor, Santoshi Raichur hub, Near Gandhi chowk, Raichur, Karnataka-584 101.

The ‘Company’ is a licensee of the brand yumdeli and the Platform, and is responsible for operating and managing the Platform under the license.

Registration and On boarding

To become a Delivery Partner on the Yumdeli platform, you must:

  • Register through the Yumdeli Partner Portal or mobile app.
  • Provide valid identification, driving license, vehicle information, and any other necessary documentation as required by Yumdeli and local regulations.
  • Complete any background checks and vehicle inspections (if applicable) as part of the on boarding process.
  • Acknowledge and accept these Terms and Conditions.

You are responsible for maintaining the accuracy and up-to-date status of your registration and required documentation.

Responsibilities of the Delivery Partner

As a Delivery Partner, you agree to:

  • Pick up and Deliver Orders Promptly: You are responsible for picking up food orders from the assigned restaurant or food vendor and delivering them to the customer’s address within the designated timeframe.
  • Timeliness: You must deliver food in a timely manner and strive to meet delivery time expectations. Delays may negatively affect your performance rating and result in penalties or removal from the platform.
  • Professional Conduct: You must act professionally at all times when interacting with customers, restaurant staff, and Yumdeli personnel. This includes maintaining courteous communication, wearing appropriate attire (if required), and providing excellent customer service.
  • Food Safety and Quality: You are responsible for ensuring that the food is delivered in the same condition it was when picked up. This includes keeping the food at the proper temperature and protecting it from contamination or damage during transport.
  • Accuracy: You must ensure that the correct order is picked up and delivered. Any discrepancies between the order and what was delivered must be reported immediately to Yumdeli support.
  • Adherence to Traffic and Safety Laws: You are responsible for complying with all traffic laws and safety regulations while operating your vehicle. This includes adhering to speed limits, following road signs, and ensuring the safety of yourself and others during deliveries.

Compensation

  • Yumdeli will compensate you for each completed delivery based on the agreed-upon payment structure, which may include:
  • Base Delivery Fee: The fixed fee for completing a delivery.
  • Distance Fee: A fee based on the distance between the restaurant and the customer's location.
  • Peak Time Bonuses: Additional pay for deliveries made during peak hours or in busy areas.
  • Tips: Any tips given by customers will go directly to you.
  • Payments will be processed on a weekly basis(Saturday), depending on the terms agreed upon with Yumdeli. The payment will include the base pay, distance fee, bonuses, and any customer tips, minus any applicable service fees or deductions.
  • On boarding Fee & Training or Support Fees be required to pay the On boarding Fee which is prescribed at the time of his joining in the city.
  • The amount of Training and Support Fees, on boarding Fee, and the Platform Charges shall be determined by yumdeli and may be revised from time to time at the sole discretion of Yumdeli.
  • You shall not charge the any amount over and above the amount to Users of Delivery Charges agreed between You and Yumdeli under these Delivery Partner T&C.

 Delivery Partner Performance

  • Your performance as a Delivery Partner is important to us, and we use a rating system to track your performance. Key performance metrics include:
  • Customer Rating: After each delivery, customers will have the opportunity to rate their experience. Low ratings may result in warnings or removal from the platform.
  • On-Time Delivery Rate: Consistent late deliveries can result in penalties, reduced pay, or suspension from the platform.
  • Order Accuracy: Ensuring the right order is delivered is critical to customer satisfaction. Mistakes may lead to penalties or account suspension.
  • If your performance consistently falls below Yumdeli’s standards, you may receive a warning or be removed from the platform. Delivery Partners who repeatedly violate these terms may be subject to deactivation of their account.

Independent Contractor Status

  • By agreeing to these Terms and Conditions, you acknowledge that you are an independent contractor and not an employee of Yumdeli. As such, you are not entitled to the benefits or protections that employees are entitled to under local labour laws, including but not limited to paid leave, health insurance, or workers' compensation benefits.
  • You are responsible for paying your own taxes, including income tax and self-employment tax. Yumdeli will provide you with appropriate documentation for your tax filing purposes at the end of each tax year.

OBLIGATIONS

Once the Delivery Partners is logged-in using their log-in credentials, it will be deemed that the Delivery Partners have made themselves available to undertake Delivery Services as and when an order is placed by the user(s) and the same is assigned to the Delivery Partner(s) through the Yumdeli Delivery Partner app.

Yumdeli may provide the Delivery Partners with certain assets including, but not limited to delivery bags, t-shirts etc. These Assets shall be used at all times while providing the Delivery Services in a prudent manner such that no damage is caused to the Assets and perform its role in an ethical manner.

The Delivery Partners undertake that the he holds and possesses a valid driving license, vehicle registration number, vehicle insurance policy as required.

Shall Delivery Partner(s) tamper, damage, open or do anything to the order(s) of the users(s) that they are not specifically permitted to do. Any loss suffered by Yumdeli due to the wilful tampering, damaging, or opening of the order of the Users, shall be recoverable from the Delivery Partner Fee.

For COD orders, the Delivery Partner(s) is required to collect the amount of the order from the user(s) on behalf of and due to Yumdeli. The collected amount, (excluding Tip(s)) shall be deposited by the Delivery Partner(s) with Yumdeli in such manner and at such frequencies as Yumdeli may instruct from time to time. In the event, Delivery Partner(s) does not deposit the cash collected from User(s) to Yumdeli, then the cash amount shall be deducted from the Delivery Partner(s). In a scenario where, the Delivery Partner(s) fails to collect the order amount from the users, the Delivery Partner(s) shall immediately report to Yumdeli through the Yumdeli Platform support service such incidents for Yumdeli’s investigation and further action

The Delivery Partner(s) shall not act in any manner that adversely affects Yumdeli and always undertakes adherence with Applicable Law(s).

Yumdeli shall not monitor the actions of the Delivery Partner(s) unless there is a complaint(s) raised against them.

The Delivery Partner(s) are capable of entering in the present Agreement, pursuant to the Indian Contract Act, 1872 and are not below the age of 18 years as on the date on which the Delivery Partner(s) agrees to these T&Cs.

The Delivery Partner has not been convicted by any court in India or any other country of any crimes including but not limited to involving moral turpitude. Further, the Delivery Partner is not a party to any pending litigation, which shall materially affect Your obligations under these Delivery Partner T&C.

Tax

You authorize Yumdeli to make Tax Deduction at Source (TDS) as per the Income Tax Act, 1961,

In case any withholding tax has to be deducted from the Delivery Charges or any amount payable by yumdeli under the Agreement and these Delivery Partner T&C, the Company shall deduct the same and provide the Business Associate with adequate proof of depositing the said withholding tax with the Indian tax authorities in accordance with the Income Tax Act, 1961 and shall raise a tax invoice containing such particulars as may be prescribed under the Goods and Service Tax Act, 2017 and the rules made thereunder, as amended from time to time for any amount charged to you by yumdeli including the Platform Charges. The Platform Charges shall be inclusive of applicable taxes.

Confidentiality and Data Protection

You must respect the privacy of customers and vendors, and protect their personal data in accordance with applicable data protection laws. Any information about customers, including their name, address, phone number, and order details, is confidential and should not be shared with third parties.

You must also comply with Yumdeli’s privacy policies and other applicable legal requirements regarding data security.

Termination or Suspension

Yumdeli reserves the right to suspend or terminate your access to the platform at any time, with or without notice, if you:

  • Fail to comply with these Terms and Conditions.
  • Engage in dishonest, fraudulent, or illegal activities.
  • Have multiple customer complaints or poor ratings.
  • Are involved in any activity that harms Yumdeli’s reputation or the experience of our customers.
  • Violate local laws or regulations related to food delivery or transportation.

If your account is suspended or terminated, you will be notified by Yumdeli, and any outstanding payments owed to you will be processed as per the usual payment terms.

Limitation of Liability

Yumdeli will not be liable for any direct, indirect, incidental, or consequential damages arising out of or in connection with your use of the platform or your role as a Delivery Partner, except as may be required by law. This includes, but is not limited to, damages arising from vehicle accidents, food-related issues, or interactions with customers or vendors.

Indemnity

You agree to indemnify, defend, and hold harmless Yumdeli, its officers, directors, employees, and affiliates from any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your failure to comply with these Terms and Conditions.
  • Any negligent or illegal actions taken during the delivery process.
  • Claims related to customer satisfaction, food safety, or delivery accuracy.

“Intellectual Property Rights” shall mean and include the copyright (whether registered or not), patents including rights of filing patents, trade names, trademarks, trade dresses, collective marks, associate marks and the right to register them, designs (both industrial and layout), geographical indicators, moral rights, broadcasting rights, displaying rights, distribution rights, selling rights, reproducing rights, domain names, internet address, graphics, artwork, links, information, logos, software, configuration, marketing and distribution material and any other intellectual property right in the Customer Application, and Yumdeli Platform, which are used and/or owned by Yumdeli from time to time.

Payments: 

Dispute Resolution

In the event of any disputes, disagreements, or claims arising from your relationship with Yumdeli, the parties will first attempt to resolve the issue through negotiation or mediation. If a resolution cannot be reached, the dispute will be subject to binding arbitration in accordance with the rules of the relevant jurisdiction.

Governing Law

These Terms and Conditions will be governed by and construed in accordance with the laws of the jurisdiction in which Yumdeli operates. Any legal proceedings will take place in the courts of that jurisdiction.

Amendments

Yumdeli reserves the right to amend these Terms and Conditions at any time. Any changes will be communicated to you through the platform or via email. Continued use of the platform after changes have been made constitutes acceptance of those changes.
